Sublease Agreement

SUBLEASE AGREEMENT This SUBLEASE AGREEMENT is made on [effective_date] between [sublessor_name], of [sublessor_address] (the "Sublessor"), and [sublessee_name], of [sublessee_address] (the "Sublessee"). RECITALS A. The Sublessor is the lawful tenant of the premises situated at [premises_address] (the "Premises") under a lease/leave-and-licence granted by [landlord_name] (the "Head Lease"). B. The Sublessor has obtained the written consent of the landlord to sublet the Premises, a copy of which is annexed to this Agreement. C. The Sublessee has agreed to take the Premises on sublease on the terms recorded below. NOW IT IS AGREED AS FOLLOWS: 1. GRANT OF SUBLEASE The Sublessor sublets to the Sublessee the Premises for a term of [term_months] months commencing from [start_date]. 2. SUBJECT TO THE HEAD LEASE 2.1 This Sublease is at all times subject to the terms of the Head Lease. 2.2 The Sublessee shall observe and perform all obligations under the Head Lease insofar as they relate to the Premises, and shall not do anything that would place the Sublessor in breach of it. 2.3 The term of this Sublease shall not in any event extend beyond the term of the Head Lease. If the Head Lease is determined for any reason, this Sublease shall stand automatically determined. 3. RENT AND DEPOSIT 3.1 The Sublessee shall pay the Sublessor a monthly rent of Rs. [monthly_rent], in advance, on or before the fifth day of each calendar month. 3.2 The Sublessee has paid an interest-free refundable deposit of Rs. [security_deposit], refundable within thirty days of vacating, after adjusting arrears and the cost of damage beyond normal wear and tear. 3.3 Utility charges shall be borne by the Sublessee on actuals. 4. SUBLESSEE'S OBLIGATIONS The Sublessee shall use the Premises only for the purpose permitted under the Head Lease; maintain them in good condition; make no structural alteration; not further sublet or part with possession; and permit the Sublessor and the landlord to inspect on reasonable notice. 5. SUBLESSOR'S OBLIGATIONS The Sublessor shall continue to pay rent and perform its obligations under the Head Lease, and shall not do anything that would cause the Head Lease to be forfeited. 6. TERMINATION Either party may terminate on one month's written notice. The Sublessor may terminate immediately if the Sublessee fails to pay rent for two consecutive months or breaches any material term. 7. GOVERNING LAW Governed by the laws of India. Subletting without consent, where the lease prohibits it, is a ground for forfeiture of the tenancy under Section 108 of the Transfer of Property Act, 1882 and under most State rent legislation. Obtain the landlord's written consent before executing this Agreement.
