NOTE: Under Section 56 of the Companies Act, 2013, shares held in physical form are transferred through a duly stamped instrument of transfer in Form SH-4 delivered to the company with the share certificates. Form SH-4 is not used where the transfer is between depository participants for shares held in dematerialised form; that transfer is made through the depository. Rules made under the Companies Act now require many companies' shares to be dematerialised before they can be transferred, so confirm the position for this company before signing. Where either party is a non-resident, the transaction is additionally subject to the Foreign Exchange Management Act, 1999 and to the pricing guidelines and reporting requirements made under it.

அதன் பின்னணியில் உள்ள சட்டம்

Transfer of shares is governed by section 56 of the Companies Act, 2013, which requires a proper instrument of transfer, in Form SH-4 for physical shares, delivered to the company. The agreement itself is a contract under the Indian Contract Act, 1872. Private companies usually restrict transfers in their articles. Stamp duty on the transfer is payable under the Indian Stamp Act, 1899. Where a party is non-resident, the Foreign Exchange Management Act, 1999 applies, including pricing guidelines and reporting. The seller may owe capital gains tax.

தவிர்க்க வேண்டிய பொதுவான தவறுகள்

  • Ignoring transfer restrictions or pre-emption rights in a private company's articles, which allows the company to refuse registration.
  • Paying the full price before receiving a stamped SH-4 and original certificates or confirmed demat credit.
  • Skipping due diligence and relying only on warranties, which then have to be enforced through arbitration.
  • Overlooking FEMA pricing and reporting rules when the buyer or seller is a non-resident.

What is Form SH-4?

Form SH-4 is the securities transfer form prescribed under the Companies Act rules for transferring physical shares. It must be properly stamped, signed by the transferor and transferee and delivered to the company with the share certificates. Demat shares are transferred through the depository instead.

Is a share purchase agreement enough to transfer shares?

No. The agreement records the deal, but legal title passes only when the company registers the transfer in its register of members on receiving a proper instrument of transfer, or when the depository records the transfer for demat shares.

Can a private company refuse to register a share transfer?

A private company's articles normally restrict transfer of shares, and the board can refuse a transfer that does not follow them. That is why the template makes board approval and any waiver of pre-emption rights a condition before completion.

What extra steps apply if the buyer is an NRI or foreign company?

Transfers between residents and non-residents fall under FEMA. The price must respect the applicable pricing guidelines, usually supported by a valuation report, and the transfer must be reported through an authorised dealer bank within the prescribed time. Take professional advice before signing.

How long do I have to lodge the SH-4 with the company after signing?

Where the shares are still held in physical form, section 56(1) of the Companies Act, 2013 requires the duly stamped and executed instrument of transfer (Form SH-4) to be delivered to the company within sixty days from the date of execution, along with the share certificate. If it is lost or not delivered in time, the proviso allows the company to register the transfer on such terms as to indemnity as the board thinks fit. Unless prohibited by law or a court order, section 56(4)(c) then requires the company to deliver the share certificate within one month of receiving the instrument. Physical transfers are now limited: under rules 9A and 9B of the Companies (Prospectus and Allotment of Securities) Rules, 2014, holders of shares in an unlisted public company, or in a private company other than a small company, must get them dematerialised before transferring them, and a transfer between depository accounts does not need an SH-4.

How much stamp duty is payable on a transfer of shares?

The rate is set in the Indian Stamp Act, 1899 itself. Article 56A of Schedule I, inserted by the Finance Act, 2019, charges 0.015 percent on a transfer of securities other than debentures on delivery basis. For an off-market transfer through a depository, section 9A(1)(b) has the depository collect the duty from the transferor, and for a transfer made otherwise than through a stock exchange or depository, such as physical shares under Form SH-4, section 9B(b) makes the transferor liable on the consideration stated. Duty on the share purchase agreement itself is a separate question under the stamp law of the State where it is executed.

What can the buyer do if a private company refuses to register the transfer?

Under section 58(1) of the Companies Act, 2013, a private company that refuses must send a notice of refusal with reasons to the transferor and transferee within thirty days from the date the instrument of transfer was delivered. Under section 58(3), the transferee may appeal to the Tribunal (the NCLT) within thirty days of receiving the notice, or within sixty days of delivering the instrument if no notice was sent. Under section 58(5), the Tribunal can direct the company to register the transfer or rectify its register.
