A POWER OF ATTORNEY CANNOT BE USED TO SELL PROPERTY
This is the most consequential thing to understand before executing this document, and it is widely misunderstood in India.
In Suraj Lamp & Industries (P) Ltd. v. State of Haryana (2011) the Supreme Court held that transactions of the nature of "GPA sales" or "SA/GPA/Will transfers" DO NOT CONVEY TITLE, do not amount to a transfer, and can never be a recognised or valid mode of transferring immovable property. The Court reaffirmed this in M.S. Ananthamurthy v. J. Manjula (February 2025) and again in Ramesh Chand v. Suresh Chand (September 2025).
What that means in practice:
1. Immovable property can be transferred ONLY by a duly stamped and registered deed of conveyance (a sale deed) under Section 54 of the Transfer of Property Act, 1882 and the Registration Act, 1908. Without one, no right, title or interest passes.
2. A power of attorney only AUTHORISES the agent to act on the owner's behalf. It does not make the agent the owner. Even an IRREVOCABLE power of attorney does not transfer title.
3. If you are buying property and are being offered a "GPA sale" (typically an agreement to sell, plus a general power of attorney, plus a will), you are being offered no ownership at all. If the seller later dies, refuses to complete, or sells the same property to someone else by a registered deed, you have virtually no remedy.
4. The Supreme Court did not retrospectively invalidate the lakhs of such transactions already done, but they cannot be relied upon as proof of title. No comprehensive regularisation has followed. If you hold property this way, take advice about curing it through a proper registered conveyance.
WHAT THIS DOES NOT AFFECT: the Court expressly preserved genuine powers of attorney granted for management or convenience, including within families. A power of attorney remains a perfectly proper instrument for its actual purpose: managing property while you are abroad or unwell, appearing before authorities, operating accounts, completing a sale on your own behalf as owner. Nothing above prevents that. What it cannot do is substitute for the conveyance itself.

STAMP DUTY: THE QUESTION THAT DECIDES THE COST
Stamp duty on a power of attorney is fixed by the State in which it is executed, but in every State the rate turns on the same two questions, and getting them wrong is expensive:
1. WHO is the attorney: a family member, or someone else? 2. Does CONSIDERATION pass: is money changing hands?
WHERE THE POWER IS GIVEN TO A CLOSE FAMILY MEMBER AND NO CONSIDERATION
PASSES, duty is nominal: a fixed amount that in most States runs from a few hundred to a few thousand rupees. This is the ordinary case: a parent authorising a child, or a spouse authorising a spouse, to manage or deal with property.
WHERE THE POWER AUTHORISES SALE TO A NON-RELATIVE, OR WHERE
CONSIDERATION PASSES, the instrument is treated as a CONVEYANCE. Duty is then charged AD VALOREM at sale deed rates, commonly in the range of five to seven per cent of the circle rate or market value, depending on the State.
On a property of Rs 80 lakh that is the difference between a few hundred rupees and several lakhs. It is not an anomaly or a penalty: States levy it precisely to remove the cost advantage that drove GPA sales for decades, and it is the fiscal counterpart of the Supreme Court's decision in Suraj Lamp.
SO: DO NOT ASSUME A POWER OF ATTORNEY IS THE CHEAP OPTION. If the substance of what you are doing is a sale to someone outside the family, the duty will follow the substance rather than the label on the document.
STATES ARE TIGHTENING THIS, NOT RELAXING IT. In 2023 Uttar Pradesh decided that a power of attorney authorising sale to someone outside the family attracts stamp duty computed on the circle rate of the property, while a power of attorney in favour of a close blood relative carries a fixed duty. The change was made because builders were taking powers of attorney from landowners at nominal cost and selling the land without a sale deed. In July 2026 the Delhi Government directed that a GPA in favour of anyone other than a parent, spouse, child or sibling is not to be registered directly by the Sub-Registrar: it must first be referred to the Collector of Stamps, who decides by a written order what duty is payable, and it is registered only after that order is complied with. These are administrative directions and can change, so ask the Sub-Registrar what applies on the day you execute.
CONFIRM THE RATE WITH THE JURISDICTIONAL SUB-REGISTRAR BEFORE
EXECUTION. Rates and the definition of "family" both vary by State, and a POA stamped at the nominal rate when the ad-valorem rate applied is not merely under-stamped: it may be refused registration, and it cannot be relied upon in the transaction it was drawn for.
REGISTRATION of a power of attorney relating to immovable property is strongly advisable, and authentication under Section 33 of the Registration Act, 1908 is MANDATORY where the attorney will present documents for registration.
ജനറൽ പവർ ഓഫ് അറ്റോർണി: അത് എന്താണ്
A General Power of Attorney is a signed instrument by which you (the principal) appoint a trusted person (the attorney) to act in your name across a defined set of affairs. This draft lists the scope and the specific powers you choose, adds incidental powers, sets limits on the attorney, and states how long it lasts and how it ends.
നിങ്ങൾക്ക് ഈ രേഖ ആവശ്യമുള്ളപ്പോൾ
- You are moving abroad and need someone at home to deal with banks, tax offices or property managers.
- An elderly parent wants a child or spouse to handle routine paperwork, rent collection and utility matters.
- You own a flat in another city and want a relative there to manage tenants, society dues and municipal matters.
അത് എന്താണ് ഉൾക്കൊള്ളുന്നത്
- Particulars of the principal and the attorney, their relationship, and the place and date of execution.
- The property or affairs covered, the specific powers granted, and incidental powers to sign forms and appear before authorities.
- Limits on the attorney: no exceeding the powers, no sub-delegation without written consent, good faith, and accounts on demand.
- A ratification clause by which the principal confirms lawful acts done within the powers granted.
- Duration until a chosen date or written revocation, and automatic revocation on the principal's death, unsoundness of mind or insolvency.
- Execution formalities on stamp duty and section 33 authentication, with signatures of the principal, the attorney and two witnesses.
അത് എങ്ങനെ പൂരിപ്പിക്കുകയും ഒപ്പിടുകയും ഉപയോഗിക്കുകയും ചെയ്യാം
- Write the powers narrowly, naming accounts or property, because a vague list invites misuse and refusal by banks.
- Have an advocate review it before signing, since it puts your money and property in someone else's hands and duty rises sharply if the powers amount to a sale.
- Pay stamp duty for your state; the state panel on this page shows verified figures for Delhi, Gujarat, Karnataka, Maharashtra and Telangana.
- Sign in the presence of two witnesses, with the attorney signing the acceptance, and have the instrument notarised.
- If the attorney will present documents for registration, have it authenticated as section 33 of the Registration Act requires (by the Sub-Registrar where the principal lives in India, or by a notary or Indian consular officer where the principal lives abroad); registration is advisable for property matters.
- Give copies to the offices concerned, keep the original safe, and on revocation notify the attorney and every office that relied on it.
അറ്റാച്ചുചെയ്യാനോ സൂക്ഷിക്കാനോ ഉള്ള രേഖകൾ
- Identity and address proof and photographs of the principal and the attorney.
- Property documents or account details for the assets named in the scope.
- Passport and visa copy of the principal where it is executed abroad.
അതിന് പിന്നിലെ നിയമം
The Powers of Attorney Act 1882 governs the instrument, and the agency rules of the Indian Contract Act 1872 decide what the attorney can do and when authority ends. Stamp duty is set by each state and is much higher where the powers permit sale outside the family. Section 33 of the Registration Act 1908 requires authentication where the attorney presents documents for registration. In Suraj Lamp (2011) the Supreme Court held that a power of attorney does not transfer ownership of immovable property; only a registered sale deed does.
ഒഴിവാക്കേണ്ട സാധാരണ തെറ്റുകൾ
- Treating a GPA, agreement to sell and will as a purchase; this passes no title.
- Paying the nominal family rate when the powers authorise sale to an outsider, risking impounding or refusal.
- Drafting powers so broadly that the attorney can mortgage or sell when you meant only management.
- Not notifying banks after revoking it, so the old instrument keeps being used.
ജനറൽ പവർ ഓഫ് അറ്റോർണി: പതിവായി ചോദിക്കുന്ന ചോദ്യങ്ങൾ
Does a general power of attorney need to be registered?
Registration is generally optional but advisable where the powers concern immovable property. Authentication under section 33 of the Registration Act is needed where the attorney will present documents for registration. Some states have stricter rules for powers that authorise sale, so check locally first.
How much stamp paper is needed for a GPA?
Each state sets its own duty. A general power given to a family member without payment usually attracts a small fixed duty, while one authorising sale to a non-relative is often charged near sale deed rates. Confirm the rate before buying stamp paper.
Can the attorney sell my property using this document?
Only if you expressly grant a power of sale, and even then the attorney signs a registered sale deed in your name as your agent. The power of attorney itself never makes the attorney the owner or replaces a sale deed.
How can an NRI give a power of attorney to someone in India?
Sign it before an Indian embassy or consulate officer, or before a local notary and get it apostilled. When it reaches India, pay the stamp duty within the time allowed by the state stamp law and, if needed, get it adjudicated or registered before relying on it.
Can I cancel a power of attorney after signing it?
Yes. Revoke it by written notice, ideally a registered deed of revocation if the original was registered, and inform the attorney and every office holding a copy. It also ends automatically on your death or unsoundness of mind.
Is a deal done by my attorney valid if I had revoked the power but they did not know?
It can be. Under section 208 of the Indian Contract Act, 1872, the end of an agent's authority does not take effect against the agent until it becomes known to the agent, or against third persons until it becomes known to them. Section 3 of the Powers of Attorney Act, 1882 also protects a person who makes a payment or does an act in good faith under the power without knowing of the donor's death, unsoundness of mind, insolvency or revocation. This is why written notice of revocation to the attorney and to every bank or office that holds a copy matters.
Can a power of attorney be made irrevocable?
Ordinarily the principal can revoke the authority at any time before it has been exercised so as to bind the principal (section 203 of the Indian Contract Act, 1872), though not for acts and obligations already arising from acts done (section 204). Section 202 is the exception: where the attorney has an interest in the property that is the subject of the power, the authority cannot, without an express contract, be ended to the prejudice of that interest. The Act's illustration is authority to sell land and repay, out of the proceeds, a debt owed to the agent, which cannot be revoked and does not end on the principal's death or insanity.
Can my power of attorney holder give evidence for me in court?
Only to a limited extent. Order III Rules 1 and 2 of the Code of Civil Procedure, 1908 allow a person holding a power of attorney to make appearances, applications and acts for a party. In Janki Vashdeo Bhojwani v IndusInd Bank Ltd (2004), the Supreme Court held that this does not allow the holder to depose in place of the principal on matters within the principal's personal knowledge. The holder can depose only about acts the holder personally did under the power.
