A Confidentiality and Non-Circumvention Agreement protects a person who introduces a deal, buyer, supplier or investor. Both parties agree to keep the deal information confidential and not to bypass each other to deal directly with contacts the other introduced for a fixed number of months without consent and fair compensation. It also allows the injured party to seek an injunction.

  • A broker or consultant is introducing a buyer to a seller and wants protection against being cut out.
  • You are sharing a supplier's or manufacturer's details with a trading partner for an import or export deal.
  • An intermediary is bringing an investor to a startup or project and expects a success fee.
  • Two businesses are exchanging leads and sensitive pricing information before a joint bid.
  • A real estate or land deal involves sharing the owner's identity before terms are fixed.

  • The names of both parties, the effective date and a description of the deal or opportunity.
  • A mutual duty to keep information about the opportunity confidential and not disclose it without consent.
  • A promise, for the stated number of months, not to bypass the other party to deal directly with contacts, sources or opportunities it introduced.
  • An exception where the introducing party consents and is appropriately compensated.
  • Acknowledgement that a breach may not be fully compensable in money and that injunctive relief may be sought in addition to damages.

  1. Describe the deal clearly enough to identify it, and keep a written record of each contact you introduce and the date.
  2. Fill in both parties, the deal description, term and effective date on this page and check the preview.
  3. Ask an advocate to review it before signing, because non-circumvention clauses can run into the restraint of trade rule and the compensation term is left open in this draft.
  4. Agree in writing the commission or fee payable if the introduced deal goes ahead, ideally as a percentage or fixed amount.
  5. Print the agreement, pay stamp duty as applicable in your state, and have both parties sign before any contact details are shared.
  6. Share introductions by email so there is a dated trail, and keep the signed copy with that correspondence.

The agreement is a contract under the Indian Contract Act, 1872. Confidentiality promises are generally enforceable. The non-circumvention part must be read with section 27 of the Act, which voids restraints on carrying on a lawful business. The Supreme Court has held that a restraint which continues after the contract ends is void under section 27 even if it is reasonable (Percept D'Mark v Zaheer Khan, 2006). The promise to keep information confidential stands on firmer ground. Injunctions are granted at the court's discretion under the Specific Relief Act, 1963. Stamp duty varies by state.

  • Sharing contact names before the agreement is signed, which leaves the introducer with nothing to enforce.
  • Not fixing the commission, so appropriately compensating becomes a dispute about how much.
  • Keeping no record of who was introduced and when, which makes breach very hard to prove.
  • Choosing an unreasonably long term, which makes the restriction easier to challenge.

What does NCNDA mean?

NCNDA stands for non-circumvention and non-disclosure agreement. It combines a confidentiality promise with a promise not to bypass the person who made an introduction. It is common in trading, brokerage, import and export and investment deals.

Are non-circumvention agreements enforceable in India?

The confidentiality part usually is. The non-circumvention part is weaker. Section 27 of the Contract Act voids agreements that restrain anyone from carrying on a lawful business, and the Supreme Court held in Percept D'Mark v Zaheer Khan (2006) that a restraint which operates after the contract ends is void even if it is reasonable. A restriction that applies only while the agreement is in force is judged more leniently.

What can I do if the other party bypasses me?

You can send a legal notice and, if needed, file a civil suit for damages, usually the commission you lost, and seek an injunction. Your evidence will be the signed agreement and proof that you introduced the contact. An advocate can advise on the right court and timing.

Should the agreement be signed before or after sharing the contact?

Before. Sign the agreement first and share names, phone numbers and documents only afterwards. Once the contact is known, the other party has little reason to sign, and proving that you made the introduction becomes harder.

Can we fix an amount payable if one side bypasses the other?

You can name a sum, but a court will award only reasonable compensation up to that amount. Section 74 of the Indian Contract Act, 1872 caps compensation at the sum named in the contract, whether or not actual loss is proved. In Kailash Nath Associates v. DDA (2015), the Supreme Court held that the named sum is the upper limit, that loss or damage is essential, and that where actual loss can be proved it must be proved. A sum that is a genuine pre-estimate can be awarded only where loss is difficult or impossible to prove.

Does the non-circumvention promise continue after the agreement ends?

A restriction meant to operate after the contract has ended is risky. In Percept D'Mark (India) Pvt Ltd v. Zaheer Khan (2006), the Supreme Court agreed that a negative covenant sought to be enforced after the term of the contract is prima facie void under section 27 of the Indian Contract Act, 1872, and said that under section 27 a restraint is not saved by being reasonable or partial unless it falls within the express exception for sale of goodwill. The Court also said that the clause in that case, read as operating only during the term of the agreement, may be valid and enforceable.

Can a court stop the other party from dealing directly with my contact?

Section 42 of the Specific Relief Act, 1963 allows a court to grant an injunction to enforce a negative promise, such as a promise not to deal with a contact, even where it cannot compel performance of the positive part of the contract. The proviso requires that the person seeking the injunction has performed their own side of the contract so far as it binds them. Injunctions remain discretionary, and in Percept D'Mark (2006) the Supreme Court refused one where money compensation was found adequate.
