LOGISTICS AND TRANSPORT AGREEMENT
This AGREEMENT is made on [effective_date] between [consignor_name], of [consignor_address] (the "Consignor"), and [transporter_name], of [transporter_address], registered under the Carriage by Road Act, 2007 bearing registration number [transporter_registration] (the "Transporter").
1. SCOPE
The Transporter shall collect, carry and deliver the following goods on the Consignor's behalf:

2. TERM
This Agreement continues for [term_months] months from the Effective Date unless terminated earlier.
3. TRANSPORTER'S OBLIGATIONS
3.1 To hold and maintain a valid registration under the Carriage by Road Act, 2007, and all permits, fitness certificates and licences required for the vehicles and drivers deployed;
3.2 To issue a goods consignment note for every consignment, in the form prescribed under the Act and the rules made under it;
3.3 To carry the goods with due care and deliver them at the destination in the same condition in which they were received, ordinary wear excepted;
3.4 To adhere to the standard transit time of [transit_days] days, subject to force majeure;
3.5 To deploy licensed drivers and roadworthy vehicles, and to comply with the Motor Vehicles Act, 1988 including load and permit limits;
3.6 To notify the Consignor immediately of any accident, loss, damage, detention or seizure.
4. CONSIGNOR'S OBLIGATIONS
The Consignor shall tender the goods properly packed and labelled for transit; declare the nature and value of the goods accurately; furnish all documents required for movement, including the e-way bill under the Goods and Services Tax laws; and not tender any prohibited or dangerous goods without prior written disclosure and consent.
5. FREIGHT
Freight shall be calculated [freight_basis], and paid within thirty days of receipt of an undisputed invoice. Freight is exclusive of Goods and Services Tax, and tax shall be deducted at source at the applicable rate.
6. LIABILITY FOR LOSS OR DAMAGE
6.1 The Transporter shall be liable for loss of, damage to, or non-delivery of the goods while in its custody, in accordance with the Carriage by Road Act, 2007 and the rules made under it.
6.2 The Transporter shall not be liable where the loss arises from an act of God, act of war, seizure under legal process, inherent defect in the goods, or the Consignor's own fault or defective packing.
6.3 Claims shall be notified in writing within the period prescribed under the Act.
7. INSURANCE
The Transporter shall maintain adequate goods-in-transit and vehicle insurance throughout the term, and shall furnish evidence of it on demand.
8. TERMINATION
Either party may terminate on thirty days' written notice, or immediately for material breach not remedied within fifteen days, or on the Transporter's registration or permits lapsing.
9. GOVERNING LAW
Governed by the laws of India. The courts at the Consignor's place of business shall have exclusive jurisdiction.
