A patent assignment deed transfers ownership of a granted patent, or of a pending patent application, from one person or company to another. This draft assigns all rights, title and interest for a stated consideration and commits both parties to take the steps needed to record the assignment with the Patent Office. Under the Patents Act, 1970, such an assignment must be in writing and registered.

Is registration of a patent assignment compulsory in India?

Yes. Under Section 69 of the Patents Act, the person who acquires the patent must apply to the Controller to have the title registered. Can a patent application be assigned before the patent is granted?

Yes. Rights in a pending application can be assigned, and the assignee can ask the Controller to proceed with the application in its name. Many startups do this when an inventor filed personally before the company was formed.

Do co-owners need to agree to an assignment?

Under the Patents Act, a co-owner generally cannot assign their share without the consent of the other co-owners, unless they have agreed otherwise. If the patent has more than one owner, obtain written consent from each one and attach it.

Who pays the patent renewal fees after assignment?

Once title passes, the new owner becomes responsible for paying renewal fees to keep the patent in force. Check that fees are paid up to date at the time of transfer, and set reminders, since a patent ceases if renewal fees are not paid within the allowed time.

Which form is used to move a pending patent application to the new owner?

Before grant, the assignee makes a claim under section 20(1) of the Patents Act, 1970, and rule 34 of the Patents Rules, 2003 says this claim is made in Form 6. The original assignment, or an official or notarised copy, must be produced for the Controller's inspection. Under section 20(3), the assignment should identify the invention by the application number, or the assignor should give an acknowledgement linking it to that application. If there are joint applicants, section 20(2) requires the consent of the others.

What has to be filed with Form 16 to record the assignment of a granted patent?

Rule 90 of the Patents Rules, 2003 requires the application under section 69 to be made in Form 16. Under rule 91, the assignment must be presented with the application, along with two copies certified as true copies by the applicant or the patent agent, and the Controller may ask for further proof of title or written consent. Section 69(2) allows the assignor as well as the assignee to apply. If the parties dispute whether title has passed, the proviso to section 69(3) lets the Controller hold back registration until a competent court decides.

Does a patent licence also need to be in writing and registered?

Yes. Section 68 of the Patents Act, 1970 applies to a licence in the same way as to an assignment: it is not valid unless it is in writing, embodies all the terms and conditions, and is duly executed. Under section 69(1), a person who becomes entitled as a licensee must apply to the Controller to register notice of that interest. The proviso to section 69(4) says that, on request of the patentee or licensee, the Controller will take steps to keep the licence terms from being disclosed except under a court order.
