A Manufacturing Agreement is a contract in which a buyer engages a manufacturer to produce goods to the buyer's specifications on agreed price and payment terms for a fixed number of years. It records the product specification, quality standards and inspection rights, and confirms that the buyer's designs remain the buyer's property and are used only for this work.
- A brand owner is getting its products made by a contract or third party manufacturer.
- A company is placing OEM or private label production with a factory.
- A startup is outsourcing production of a new product designed in house.
- A buyer wants agreed quality checks and inspection rights before goods are dispatched.
- A buyer is sharing drawings, formulas or moulds and needs written protection over their use.
- The names of the buyer and the manufacturer and the effective date.
- The product specification the goods must meet.
- Pricing and payment terms.
- Quality standards and the buyer's inspection rights.
- The term of the agreement in years.
- A clause that the buyer's designs and specifications remain its property and may be used only to produce goods under this agreement.
- Attach a detailed specification with drawings, materials, tolerances and packaging, since the specification field is the core of the contract.
- Fill in the specification, pricing, quality standards, term and effective date in the form and check the preview.
- Have an advocate review the agreement before signing, because it does not yet cover points such as order process, delivery, defects, warranties, liability and termination, which often decide manufacturing disputes.
- Confirm with both sides' accountants how GST applies, especially if the buyer supplies raw material for job work.
- Print on stamp paper as applicable in your state and have authorised signatories of both companies sign.
- Keep signed purchase orders, inspection reports and delivery challans with the agreement throughout the term.
- Technical specifications and drawings
- Quality and inspection checklist or acceptance criteria
- Price schedule and payment milestones
- List of tools, moulds or materials supplied by the buyer
- Confidentiality agreement covering designs and formulas
- Relevant product certifications or licences of the manufacturer
The agreement is governed by the Indian Contract Act, 1872, and the goods are sold under the Sale of Goods Act, 1930, which implies conditions that goods sold by description match that description. Buyer designs may be protected under the Copyright Act, 1957, the Designs Act, 2000, the Patents Act, 1970 or as confidential information. Some products need BIS certification under quality control orders, and packaged goods must meet legal metrology labelling rules. GST rules on job work apply where the buyer supplies inputs. Stamp duty varies by state.
- Using a loose specification, so the manufacturer and buyer disagree on whether goods are defective.
- Not stating who owns moulds, tooling and dies paid for by the buyer.
- Leaving out a process and time limit for rejecting defective goods and getting replacements.
- Ignoring mandatory certification or labelling requirements until goods are stuck at sale or dispatch.
What is the difference between contract manufacturing and job work?
In contract manufacturing the manufacturer usually buys materials and sells finished goods to the buyer. In job work the buyer supplies materials and the job worker processes them for a charge. The GST treatment differs, so state clearly which model applies.
Who owns the design when a manufacturer makes my product?
Under this agreement, designs and specifications provided by the buyer remain the buyer's property and can be used only for this production. For stronger protection, consider registering designs, trademarks or patents where available, and sign a separate confidentiality agreement.
Can the buyer reject goods that do not meet quality standards?
Yes, if the goods do not match the agreed specification or quality standards. The Sale of Goods Act also lets a buyer reject goods that do not correspond to their description. Set out a clear inspection period and rejection process so there is no argument about timing.
Does a manufacturing agreement need stamp paper?
Yes. It is a commercial agreement and attracts stamp duty under the stamp law of the state where it is executed. The amount varies by state. Paying proper duty keeps the agreement admissible as evidence.
Can the manufacturer sell the same product to others?
This agreement does not expressly prohibit it, although it bars use of the buyer's designs for other purposes. If you want exclusivity or a ban on making similar products, add a specific clause after advice from your advocate.
Under GST, how long can the manufacturer keep inputs, moulds or dies we send for job work?
Under section 143 of the CGST Act, 2017, a registered principal can send inputs and capital goods to a job worker without paying tax, but inputs must come back or be supplied onward within one year, and capital goods within three years, of being sent out. If they are not, they are treated as supplied to the job worker on the date they were sent. Moulds and dies, jigs and fixtures, and tools are excluded from these time limits. The Commissioner can extend the periods by up to one year and two years respectively on sufficient cause.
When is the buyer treated as having accepted a batch of goods?
Under section 41 of the Sale of Goods Act, 1930, a buyer who has not examined the goods is not treated as having accepted them until there has been a reasonable opportunity to examine them. Under section 42, the buyer is deemed to accept them on saying so, on doing an act inconsistent with the seller's ownership, or by keeping them beyond a reasonable time without saying they are rejected. Under section 43, a buyer who rightly rejects goods need not send them back, and telling the seller of the rejection is enough, unless the contract says otherwise. Fixing an inspection period in the agreement avoids argument over what is reasonable.
Can the agreement stop the manufacturer from making similar products after it ends?
Generally not. Section 27 of the Indian Contract Act, 1872 makes an agreement void to the extent it restrains anyone from carrying on a lawful trade or business. In Percept D'Mark (India) v Zaheer Khan (2006), the Supreme Court held that a restrictive covenant extending beyond the term of the contract is void, and that this applies to commercial contracts as well as employment, following Gujarat Bottling v Coca Cola (1995). Restrictions that operate only during the term are treated differently, and protection after the term usually rests on confidentiality and intellectual property rights instead.
