A copyright license agreement lets someone use a copyrighted work, such as text, photographs, music, artwork or video, while the copyright owner keeps ownership. This is different from an assignment, which transfers the copyright itself. This draft describes the work, sets the scope of the license, records the royalty or fee, fixes a term in years, and states that ownership is retained by the licensor.
- A photographer is allowing a brand to use images in an advertising campaign for a fixed period.
- An author or publisher is permitting a translation, an audiobook or an online edition of a book.
- A music composer is licensing a track for use in a film, web series, advertisement or app.
- A training company is allowing a partner to use its course material in a particular territory.
- The effective date and the names of the licensor (copyright owner) and the licensee.
- A description of the copyrighted work.
- The grant of license with the agreed purpose, media and rights, a separate territory (India if none is stated) and whether it is exclusive (non-exclusive if not stated), with all other rights reserved.
- The royalty or fee terms.
- The term of the license in years from the effective date.
- A statement that the licensor retains ownership and that only a license to use is granted.
- Describe the work exactly, including title, format, version and any registration number, so there is no doubt which material is licensed.
- Spell out the scope: the media and platforms allowed, the territory, whether the license is exclusive, and whether edits, adaptations or translations are permitted.
- Fill in the form on this page and check the preview, including the royalty terms and the number of years.
- Have an advocate review the agreement, because the Copyright Act applies default rules on duration, territory and unused rights to licences, and this draft does not cover credit, termination, sublicensing or what happens to copies after the term.
- Pay stamp duty as applicable in your state and have both parties sign.
- Keep the signed agreement, royalty statements and invoices, and track the expiry date of the term.
- Copy or sample of the licensed work, or a schedule of works.
- Copyright registration certificate, if the work is registered.
- Royalty or fee schedule and reporting format.
- Credit line or attribution wording the licensee must use.
The Copyright Act, 1957 lets a copyright owner grant any interest in the copyright by a license in writing by the owner or a duly authorised agent. The Act applies many of the rules on assignments to licences, including identifying the rights, duration and territory. An exclusive licensee has wider rights, including the ability to take infringement action in certain situations, than a non-exclusive licensee. The author's moral rights continue regardless of the license. Stamp duty depends on the state, and licence fees may attract GST.
- Leaving the exclusivity choice blank when an exclusive deal was agreed, since the agreement then treats the license as non-exclusive and the owner can license the same work to others.
- Leaving out the territory or the media allowed, so the licensee uses the work in markets or formats never agreed. If the territory is blank, this agreement limits the license to India.
- Licensing a work the licensor does not fully own, for example one containing third party music or stock images.
- Continuing to use the work after the term in years has expired without a written renewal.
What is the difference between a copyright license and a copyright assignment?
A license gives permission to use the work on agreed terms while the owner keeps the copyright, as this draft states in its ownership clause. An assignment transfers ownership itself to the other party. If the user needs to own the work, for example to register or enforce it in its own name, an assignment is the right document.
Does a copyright license have to be in writing in India?
Yes. Section 30 of the Copyright Act requires a license of copyright to be in writing by the owner or a duly authorised agent. Section 30 has not used the word signed since the 2012 amendment, but section 30A applies section 19, under which an assignment must be signed, to licences with necessary adaptations, so a signed license is the safe course. An oral permission may still be relied on in limited situations, but it is hard to prove and its scope is easily disputed.
Can a non-exclusive licensee sue for copyright infringement?
Generally no. A non-exclusive licensee usually depends on the owner to take action. An exclusive licensee has a stronger position under the Copyright Act and can take infringement action in certain circumstances. The agreement should say who will act against infringers and who bears the cost.
Can the licensee modify or translate the licensed work?
Only if the license allows it. Adaptation and translation are separate rights of the copyright owner. If edits, dubbing, translation or adaptation are needed, write them into the scope clause, and remember that the author's moral right against distortion still applies.
What happens if the licensee does not use the licensed rights?
Section 30A of the Copyright Act applies section 19 to licences. Under section 19(4), if the rights granted are not exercised within one year from the date of the grant, they are deemed to have lapsed after that year, unless the agreement says otherwise. If the licensee may need longer before starting to use the work, the agreement should say so expressly.
Can I license a work that has not been created yet?
Yes. Section 30 of the Copyright Act lets the prospective owner of copyright in a future work grant a license, but the license takes effect only when the work comes into existence. If the licensee dies before the work exists, the licensee's legal representatives get the benefit of the license unless it says otherwise. This can be used, for example, for a book or a song that is still to be written.
What if the agreement does not state the period or the territory?
Because section 30A applies section 19 to licences, section 19(5) treats an unstated period as five years from the date of the grant, and section 19(6) presumes an unstated territory to be India. Section 19(2) also requires the work, the rights, the duration and the territorial extent to be identified. Filling in each of these in the agreement avoids relying on the statutory defaults.
