CONTENT LICENSING AGREEMENT This AGREEMENT is made on [effective_date] between [licensor_name], of [licensor_address] (the "Licensor"), and [licensee_name], of [licensee_address] (the "Licensee"). 1. THE CONTENT The Licensor is the owner of the copyright in the following (the "Content"): [content_description] 2. GRANT OF LICENCE 2.1 The Licensor grants the Licensee a [exclusivity] licence to reproduce, publish, communicate to the public and display the Content, within [territory], through the following media: [permitted_media]. 2.2 The licence is limited to the rights expressly granted. All rights not expressly granted are reserved to the Licensor. 2.3 The Licensee shall not sublicense, assign or transfer the licence without the Licensor's prior written consent. 3. TERM This licence subsists for [term_years] years from the Effective Date, and shall expire automatically thereafter unless renewed in writing. 4. LICENCE FEE 4.1 The Licensee shall pay the Licensor Rs. [licence_fee] as the licence fee. 4.2 The fee is exclusive of Goods and Services Tax and is subject to deduction of tax at source under the Income-tax Act, 1961. 5. ATTRIBUTION AND MORAL RIGHTS 5.1 The Licensee shall credit the Licensor as follows: [attribution_requirements] 5.2 The Licensee shall not distort, mutilate or otherwise modify the Content in a manner prejudicial to the Licensor's honour or reputation. The Licensor's moral rights under Section 57 of the Copyright Act, 1957 are expressly retained and are not affected by this Agreement. 6. RESTRICTIONS The Licensee shall not: use the Content outside the permitted media, territory or term; alter the Content beyond such minor formatting as is necessary for the permitted media; use the Content in any manner that is unlawful, defamatory, obscene or likely to bring the Licensor into disrepute; or register or claim any copyright, trade mark or other right in the Content. 7. WARRANTIES 7.1 The Licensor warrants that it is the owner of the copyright in the Content, that it has full authority to grant this licence, and that the Content does not to its knowledge infringe the rights of any third party. 7.2 The Licensee warrants that it will use the Content only as permitted by this Agreement. 8. INDEMNITY Each party shall indemnify the other against losses arising from its own breach of this Agreement or of the warranties given above. 9. TERMINATION 9.1 The Licensor may terminate immediately on written notice if the Licensee uses the Content outside the scope of the licence, or fails to pay the fee when due. 9.2 On expiry or termination, the Licensee shall cease all use of the Content and remove it from all media within thirty days, save for archival copies retained solely for record. 10.
