Non-disclosure agreement (NDA)

ಸಹ ಕರೆಯಲಾಯಿತು: NDA, confidentiality agreement

A contract in which one or both parties promise to keep shared information confidential and use it only for an agreed purpose.

An NDA protects information you have to share to do business: a product idea, customer lists, pricing, source code, or terms of a deal. The receiving party agrees not to disclose it and to use it only for the stated purpose.

The law behind it

An NDA is a contract under the Indian Contract Act, 1872. Confidentiality obligations are generally enforced. Restraints that go further are treated differently: Section 27 makes void an agreement that restrains anyone from carrying on a lawful profession, trade or business, so a post-employment non-compete is usually unenforceable, while a promise not to use or disclose confidential information is enforceable.

Key clauses

  • A clear definition of confidential information and what is excluded (public information, information already known).
  • The permitted purpose and who inside the receiving party may see it.
  • How long the obligation lasts.
  • Return or destruction of information at the end.
  • Remedies, including an injunction, and the governing law and courts.

Proving a breach

A breach can be restrained by an interim injunction, and damages can be claimed, but you must be able to show what was confidential and what was misused. Mark documents as confidential and keep records of what you share.

Draft a non-disclosure agreement, an employee NDA or a confidentiality and non-circumvention agreement.
