ANNUAL MAINTENANCE CONTRACT This ANNUAL MAINTENANCE CONTRACT is made on [effective_date] between [client_name], of [client_address] (the "Client"), and [provider_name], of [provider_address] (the "Service Provider"). 1. FEE AND PAYMENT 5.1 The Client shall pay an annual fee of Rs. CLIENT'S OBLIGATIONS The Client shall provide safe and timely access to the equipment, operate it in accordance with the manufacturer's instructions, not permit repair by any third party during the term, and report faults promptly. 7. LIMITATION OF LIABILITY The Service Provider's aggregate liability under this Contract shall not exceed the annual fee paid. Neither party shall be liable for indirect or consequential loss, or for loss of profit or production. 8. TERMINATION Either party may terminate for material breach not remedied within thirty days of written notice. On termination the Client shall pay for services rendered to that date. 9. GOVERNING LAW This Contract is governed by the laws of India, and the courts at the Client's place of business shall have jurisdiction.
